1. Identification of the Parties

This agreement is entered into between Valiryo Technologies S.L., with registered address at Polígono Comarca II, Calle F 14, 31191 Esquíroz, Navarra, Spain, and VAT number B71175866 (hereinafter “Valiryo” or “the Company”), and the individual or legal entity who completes the registration process for the Affiliate Program (hereinafter “the Affiliate”).

By registering for the Affiliate Program, the Affiliate acknowledges that they have read, understood, and fully accepted these Terms and Conditions.

2. Purpose of the Agreement

The purpose of this agreement is to regulate the participation of the Affiliate in the Valiryo Affiliate Program, under which the Affiliate may promote Valiryo’s products and receive commissions for each confirmed sale generated through their personal link or discount code.

3. Duration

This agreement is established for an indefinite term. Either party may terminate it at any time by providing written notice at least 30 days in advance. Valiryo may also terminate the agreement immediately in the event of any breach of the obligations set forth herein.

4. Conditions of Affiliation

• Participation in the program requires completing the registration form and expressly accepting these Terms and Conditions. 
• Each registration request is subject to Valiryo’s sole discretion and approval. 
• The Affiliate must not engage in spam, misleading advertising, misuse of trademarks, or any activity that could harm Valiryo’s reputation. 
• Valiryo reserves the right to suspend or cancel any affiliate account that violates these rules.

5. Commissions and Payments

• The Affiliate will receive a 10% commission for each sale completed through their link or personal discount code.
• In special collaborations (such as with influencers or brand ambassadors), personalized conditions may apply.
• Payments will be made on the 20th of each month, once sales are confirmed and provided the accumulated balance exceeds €200.
• If a customer cancels or returns a product, the corresponding commission will be deducted or not counted.
• The Affiliate can view all commissions and sales history in their personal dashboard.

6. Invoicing

6.1. Self-Billing by Valiryo

The Affiliate expressly authorizes Valiryo Technologies S.L. to issue invoices on their behalf for commissions generated through the Affiliate Program. Such invoices will be issued in compliance with applicable tax laws and will accurately reflect the corresponding amounts and descriptions.

6.2. Tax Responsibility of the Affiliate

Even though invoices are issued by Valiryo on behalf of the Affiliate, the Affiliate remains fully responsible for fulfilling their tax obligations, including the declaration and payment of any taxes arising from the income earned under this program.

6.3. Fiscal Information

The Affiliate agrees to provide Valiryo with all the necessary tax information required for correct invoicing and compliance with relevant tax obligations.

7. Tax Obligations and Withholdings

• Participation in the Valiryo Affiliate Program does not constitute an employment relationship or a professional service agreement, but rather a commercial partnership based on product promotion and sales.
• Therefore, no personal income tax (IRPF) withholding will be applied to commissions generated under this program.
• The Affiliate is solely responsible for declaring and paying any taxes due in their country of residence.

8. Obligations of Valiryo

Valiryo agrees to:

• Provide official promotional materials and basic technical support to the Affiliate.
• Ensure proper tracking of affiliate links and transparent calculation of commissions.
• Process payments according to the terms established in this agreement.

9. Obligations of the Affiliate

The Affiliate agrees to:

• Promote Valiryo products ethically, accurately, and in compliance with applicable laws.
• Avoid misleading or false claims about Valiryo products.
• Refrain from using Valiryo’s trademarks, logos, or images without prior authorization, except for those provided as part of the program.
• Not carry out paid advertising campaigns using the “Valiryo” brand name without Valiryo’s prior written consent.

10. Termination

Valiryo may immediately terminate the Affiliate’s participation if:

• The Affiliate breaches any of the terms of this agreement.
• The Affiliate engages in fraudulent, deceptive, or harmful practices against the brand.
• The Affiliate remains inactive for more than six consecutive months.

The Affiliate may also voluntarily withdraw from the program at any time by notifying Valiryo in writing at affiliate@valiryo.com

11. Intellectual Property

All intellectual and industrial property rights relating to Valiryo’s products, trademarks, logos, texts, and images are the exclusive property of Valiryo. The Affiliate does not acquire any ownership rights and may only use these materials for promotional purposes within the scope of the Affiliate Program and in accordance with Valiryo’s brand guidelines.

12. Limitation of Liability

Valiryo shall not be liable for indirect losses, technical interruptions, or temporary tracking errors affecting sales or commission calculations. The determination of commissions will depend on the data recorded by the official affiliate tracking system.

13. Modification of Terms

Valiryo reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Affiliate and will be deemed accepted if the Affiliate continues to participate in the program after publication.

14. Governing Law and Jurisdiction

This agreement shall be governed by Spanish law. Any dispute or claim arising from this agreement shall be submitted to the Courts and Tribunals of Navarra, Spain, and both parties expressly waive any other jurisdiction that may apply.

15. Acceptance

By checking the acceptance box during registration or by continuing to participate in the Affiliate Program, the Affiliate acknowledges that they have read, understood, and fully accepted these Terms and Conditions of the Valiryo Affiliate Program.
